Meet the founder
The person who built it.
I am Lav Grmusa, the founder of OpenShut. I built the platform around a single conviction: the documents that close a deal should be computed from your deal terms and quoted from the law they cite, with every line traceable back to its source.

Why OpenShut exists
I interned as an investment banking analyst in New York, and the part of a transaction that consistently slipped was the paperwork. Deals that were agreed in principle waited weeks and sometimes months on documents, and every week a deal sat open was a week either side could reconsider it or walk. The work itself was repetitive: the same instruments, the same statutory language, the same figures recalculated by hand, billed at counsel rates.
A closing binder is a stack of instruments where a wrong number or a fabricated clause is a liability. Freeform drafting can produce text that reads correctly and is wrong, leaving the team to check every line by hand.
OpenShut removes the drafting step. Figures are calculated in code from your inputs and the program rules. Statutory clauses are pulled verbatim from the authority they cite. Every other clause comes from source-verified libraries that are frozen and reviewed before they reach a deal.
That is the whole idea, and it is why the platform describes itself as deterministic: the same transaction produces an identical, signature-ready binder every time, and the reasoning behind every figure is on the record for your counsel to read.
How it works
Figures are computed, not written
Every rate, fee, and amount in a binder is derived in code from the deal terms you enter and the program rules that govern them. The same transaction produces the same numbers on every run.
Clauses are quoted, not drafted
Statutory and regulatory language is reproduced verbatim from the US authority it cites. Nothing is paraphrased into existence, so there is no drafting step where a document can invent a term.
The record stands on its own
Each document is checked against the program rules built into the engine before delivery, and an append-only trail shows where every figure and clause came from, so your counsel and your auditors can diligence it directly.

Nicholas Ratesic
Founding Partner
Nicholas studies finance at the SMU Cox School of Business and interned at Ghisallo Capital Management, where he worked alongside the trading, investment, and credit teams and prepared materials for equity and credit pitches. He works on how the product reaches the desks that close these transactions.
